Terms of Service

These Terms of Service govern your use of Private Offer, a platform that enables vehicle owners to receive purchase offers and enables buyers to make direct offers on vehicles. By using Private Offer, you agree to these terms. Please read them.

1. What Private Offer is

Private Offer is a platform that facilitates introductions between potential buyers and vehicle owners. We provide the tools for buyers to submit offers and for sellers to receive and respond to them.

Private Offer is not a party to any vehicle transaction. We do not buy, sell, or broker vehicles. Any purchase, sale, or transfer of a vehicle arranged through our platform occurs directly between the buyer and seller. Private Offer has no involvement in the transaction itself, including payment, title transfer, or any other aspect of the sale.

2. Platform fees

Private Offer charges a platform fee to both buyers and sellers when an offer is accepted and both parties proceed to the finalize stage. Fees are disclosed clearly before any payment is collected.

Priority deposits placed by buyers are authorized on your payment method but not fully charged. If an offer is accepted, a platform fee is collected from the authorized amount and the remainder is released. If an offer is declined, withdrawn, or expires, the full authorization is released and no charge is made.

All fees are in US dollars. Fees are non-refundable once collected, except where required by applicable law.

3. Offers and commitments

Submitting an offer on Private Offer is a serious expression of intent to purchase. Buyers represent that they have the ability and intent to complete a transaction if their offer is accepted.

Sellers who accept an offer represent that they own the vehicle, have the right to sell it, and intend to complete the transaction. Sellers are required to verify ownership documentation before accepting any offer.

Private Offer does not guarantee that any offer will be accepted, that any transaction will be completed, or that either party will perform their obligations. All commitments are between the buyer and seller directly.

4. Verification

Sellers who wish to accept an offer must submit verification documents including a vehicle title or registration, a government-issued ID, and a photo of the VIN on the vehicle. These documents are reviewed by Private Offer staff to confirm ownership.

Verification by Private Offer does not constitute a guarantee of title, ownership, or vehicle condition. Buyers are responsible for conducting their own due diligence before completing any transaction.

5. Prohibited conduct

You may not use Private Offer to:

  • Submit offers you do not intend to honor
  • Register a vehicle you do not own
  • Submit false, misleading, or fraudulent information
  • Attempt to circumvent the platform to avoid fees
  • Harass, threaten, or deceive other users
  • Use the platform for any unlawful purpose

We reserve the right to remove registrations, cancel offers, and terminate access for users who violate these terms.

6. Disclaimers

Private Offer is provided as-is and as-available. We make no warranties, express or implied, regarding the platform's availability, accuracy, or fitness for any particular purpose.

We are not responsible for the conduct of buyers or sellers, the accuracy of vehicle information, the outcome of any transaction, or any disputes between parties arising from a transaction.

Private Offer is currently in beta. Features may change, and service interruptions may occur.

7. Limitation of liability

To the maximum extent permitted by law, Private Offer and its operators shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the platform or any transaction arranged through it.

Our total liability to you for any claim arising from use of Private Offer shall not exceed the total platform fees you have paid in the twelve months preceding the claim.

8. Changes to these terms

We may update these terms from time to time. If we make material changes, we will update the effective date at the top of this page. Continued use of Private Offer after changes are posted constitutes acceptance of the updated terms.

9. Governing law

These terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these terms shall be resolved in the courts of Los Angeles County, California.
